1. Introduction

Welcome to WebDigitalMedia. These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and WebDigitalMedia ("Agency", "we", "us", or "our"), concerning your access to and use of our website as well as any related digital marketing, website designing, or SEO services we provide.

By engaging our services, making a payment, or signing a proposal, you confirm that you have read, understood, and agree to be bound by all of these Terms and Conditions.

2. Services and Scope of Work

  • Quotations: Any quotation provided by the Agency is valid for a period of 30 days. The contract begins only when the Client accepts the proposal and the initial invoice is paid.
  • Scope Creep: Services are strictly limited to the deliverables outlined in the official proposal or invoice. Any additional features, extra pages, or marketing campaigns requested outside the initial scope will be quoted and billed separately.
  • Client Responsibilities: The Client agrees to provide all necessary assets (text, images, logos, account access, and feedback) in a timely manner. Delays in providing these assets will directly impact project delivery timelines, for which the Agency cannot be held liable.

3. Payment Terms

  • Invoicing: For website development, a standard upfront deposit (as detailed in your proposal) is required before work commences, with the remaining balance due upon project completion and before the site goes live.
  • Retainers: Monthly SEO and Digital Marketing services are billed on a recurring monthly basis. Invoices are strictly payable within 5 business days of receipt.
  • Late Payments: The Agency reserves the right to suspend ongoing marketing campaigns, withhold deliverables, or temporarily take down web services if payments remain overdue past the grace period.

4. Approvals and Revisions

We take pride in providing excellent service and encourage Client input during the design process. However, specific revision rounds are strictly capped as per your written proposal. Once a design or strategy is formally approved by the Client, subsequent structural changes may incur additional hourly charges.

5. Intellectual Property and Copyright

  • Client Ownership: Upon full and final payment, the Client retains full ownership of the final website design, content, and branding assets created specifically for them.
  • Pre-existing Materials: The Client guarantees that any text, graphics, or trademarks provided to the Agency for inclusion in the project are owned by the Client, or that the Client has explicit permission to use them.
  • Agency Rights: WebDigitalMedia reserves the right to display the completed project in our portfolio, marketing materials, and website to showcase our expert capabilities.

6. Third-Party Services

The Agency may recommend or utilize third-party services (such as domain registrars, web hosting, premium plugins, or advertising platforms like Google Ads and Meta).

The Client is responsible for complying with the terms of these third parties. WebDigitalMedia is not liable for server downtimes, plugin deprecations, or policy changes made by third-party platforms that negatively impact the Client's digital presence.

7. SEO and Marketing Disclaimers

While our expert team strictly utilizes industry-standard, ethical, and highly effective optimization strategies, search engines continuously update their algorithms. Therefore, WebDigitalMedia cannot guarantee specific positions or instant #1 rankings on Google or any other search engine. Digital marketing is an ongoing process, and performance is heavily influenced by market competition and external platform variables.

8. Limitation of Liability

Under no circumstances shall WebDigitalMedia, its directors, employees, or contractors be liable for any indirect, consequential, or special damages, including loss of profits, data, or business opportunities, arising out of the use of our services or website. Our total liability to you in connection with any service shall strictly not exceed the total amount paid by you for that specific service.

9. Termination of Services

Either party may terminate monthly retainer agreements with a written notice of 30 days. In the event of early termination or project cancellation by the Client, the Agency will retain the initial deposit to cover development costs and hours already allocated.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Mohali, Punjab.
